1. Background

  • Accountant(s): means a third party independent practitioner of accountancy, who conducts Book-Keeping & Accountancy Services.
  • Book-keeping & Accountancy Services: means the measurement, disclosure or provision of assurance about financial information that helps managers,
    investors, tax authorities and other decision makers make resource allocation decisions.
  • Conditions: these terms and conditions as amended from time to time in accordance with clause 17.
  • Intellectual Property Rights: all patents, rights to inventions, utility models, copyright and related rights, trade marks, service marks, trade, business and
    domain names, rights in trade dress or get-up, rights in goodwill or to sue for passing off, unfair competition rights, rights in designs, rights in computer
    software, database rights, topography rights, moral rights, rights in confidential information (including know-how and trade secrets) and any other intellectual
    property rights, in each case whether registered or unregistered and including all applications for and renewals or extensions of such rights, and all similar
    or equivalent rights or forms of protection in any part of the world.
  • Quote: means the price(s) provided by the Accountant(s) for the provision of Book-Keeping & Accountancy Services to you.
  • Services: the services supplied by us to you as set out in the Clause 4.
  • Website Acceptable Use Policy: means our website acceptable use policy as may be attached to the Website, from time to time.
  • Website Privacy Policy: means our website privacy policy as may be attached to the Website, from time to time.
  • Website: means a site on the worldwide web located at www.accountancyquotes.com.

2.2 In these Conditions, the following rules apply:

  • a reference to “you” are to an individual or the body corporate whom wishes to use the Website;
  • a reference to “we”, “us”, “our” or “BusinessManager.co.uk Limited” are to Business Manager.co.uk Limited a company incorporated in England and Wales
    under registration number 06697685 whose registered office is at 147A Brighton Road, Coulsdon, Surrey, UK, CR5 2NJ or its legal representatives,
    successors or permitted assigns;
  • a reference to “our site” is to the Website.
  • a reference to a statute or statutory provision is a reference to such statute or statutory provision as amended or re-enacted. A reference to a statute or
    statutory provision includes any subordinate legislation made under that statute or statutory provision, as amended or re-enacted;
  • any phrase introduced by the terms including, include, in particular or any similar expression, shall be construed as illustrative and shall not limit the sense
    of the words preceding those terms;
  • Section headings and captions to the clauses in these Conditions are inserted for convenience of reference only and shall not be considered a part of or affect
    the construction or interpretation of these Conditions; and
  • Words in the singular include the plural and in the plural include the singular

3.Accessing The Website

3.1 Access to our site is permitted on a temporary basis, and we reserve the right to withdraw or amend the service we provide on our site without notice (see below). We will not be liable if for any reason our site is unavailable at any time or for any period.

3.2 From time to time, we may restrict access to some parts of our site, or our entire site, without notice to you.

3.3 If you choose, or you are provided with, a user identification code, password or any other piece of information as part of our security procedures, you must treat such information as confidential, and you must not disclose it to any third party. We have the right to disable any user identification code or password, whether chosen by you or allocated by us, at any time, if in our opinion you have failed to comply with any of the provisions of these Conditions.

3.4 Should you decide to stop receiving the Services, you must log into your account and deregister.

3.6 You are responsible for making all arrangements necessary for you to have access to our site. You are also responsible for ensuring that all persons who access our site through your internet connection are aware of these terms, and that they comply with them.

4. Services

4.1 We provide a web based portal that enables you to compare and request quotations from Accountant(s) for Book-keeping & Accountancy Services.

4.2 We hold and manage a database containing a list of Accountant(s) (in various business areas) who are willing to perform Book-Keeping & Accountancy Services.

4.3 The information you provide to us is used by Accountant(s) for their consideration in formulating their Quote. All information processed is subject to strict confidentially provisions between the Accountant(s) and us to protect you.

4.4 The Accountant(s) is not our agent, employee, officer or representative and not authorised to act on our behalf. We recommend that you obtain confirmation of insurance cover, guarantees, qualifications, experience and any other necessary documentation, before entering into a contract with an Accountant.

4.5 We do not provide any advice for Book-keeping & Accountancy Services nor any other form of financial or investment planning advice whatsoever, nor do we provide any recommendations or endorsements whatsoever.

5. Quotes

5.1 Once a Quote has been issued by an Accountant(s), either an email will be sent to you requesting that that you log onto your Website personal account, or the Accountant(s) will contact you directly, to the contact information you have provided.

5.2 It has been agreed by us and the Accountant(s) that they will provide any Quote to you on a free and no obligation basis.

5.3 Each Accountant(s) will have a different approach to the provision of their Quote and may not make Quotes available immediately for all of their services.

5.4 We do not control the price, length of offers, or special conditions relating to the Quotes. These are dictated by the Accountant(s).

5.5 The Accountant(s) should be contacted directly should you wish to accept, or have any questions concerning, the Quote.

5.6 Should a Quote be accepted by you, any ensuing agreement for Book-Keeping & Accountancy Services shall be entered into exclusively between you and the Accountant(s). We shall not be deemed to be party, either expressly or by implication through any introduction.

5.7 Accountant(s) is not our agent, employee, officer or representative and not authorised to act on our behalf.

6. Fees

6.1 Use of our Website is free of charge and nothing is chargeable to you; any applicable fees are paid by the Accountant(s).

7. Intellectual property rights

7.1 We are the owner or the licensee of all intellectual property rights in our site, and in the material published on it. Those works are protected by copyright laws and treaties around the world. All such rights are reserved.

7.2 You may print off one copy, and may download extracts, of any page(s) from our site for your personal reference and you may draw the attention of others within your organisation to material posted on our site.

7.3 You must not modify the paper or digital copies of any materials you have printed off or downloaded in any way, and you must not use any illustrations, photographs, video or audio sequences or any graphics separately from any accompanying text.

7.4 Our status (and that of any identified contributors) as the authors of material on our site must always be acknowledged.

7.5 You must not use any part of the materials on our site for commercial purposes without obtaining a licence to do so from us or our licensors.

7.6 If you print off, copy or download any part of our site in breach of these Conditions, your right to use our site will cease immediately and you must, at our option, return or destroy any copies of the materials you have made.

8. Reliance on information

We therefore disclaim all liability and responsibility arising from any reliance placed on such materials by any visitor to our site, or by anyone who may be informed of any of its contents.

8.2 All information about the Accountant(s) and about us as may come to your knowledge may be confidential. If, without our written approval, any such information is passed to a third party which results in loss of any income or business opportunity for us, you will be liable to indemnify our losses and damages.

8.3 You will need to answer a number of questions to obtain a Quote. The questions are designed to ensure that we have all of the information necessary to provide Accountant(s) with accurate, appropriate and timely information relating to Book-keeping and Accountancy Services in which you are interested.

8.4 It is your responsibility to ensure that all information you supply us is complete and accurate.

9. Confidentiality

9.1 We will not disclose any information that you provide us with (including, but not limited to, your business affairs, customers, clients or suppliers or of any member of the group of companies to which you belong), except as permitted by clause 9.2.

9.2 However, we may disclose your information:

  • To suitable Accountant(s) for their consideration in formulating a Quote.
  • To our employees, officers, representatives or advisers who need to know such information for the purposes of carrying out our obligations under these Conditions. We will ensure that our employees, officers, representatives or advisors to whom we disclose your confidential information comply with this clause 9.
  • As may be required by law, court order or any governmental or regulatory authority.

9.3 We will retain back-up files of your information for a period of twelve (12) months from the date provided, after which we reserve the right to destroy them. We encourage that you keep copies of the information that you provide us.

9.4 All obligations as to disclosure and confidentiality shall continue in force notwithstanding the termination of these Conditions.

9.5 We process information about you in accordance with our WebsitePrivacy Policy. By using our site, you consent to such processing and you warrant that all data provided by you is accurate.

10. Uploading material to our site

10.1 Whenever you make use of a feature that allows you to upload material to our site, or to make contact with other users of our site, you must comply with the content standards set out in our Website Acceptable Use Policy. 12.2 This does not affect our liability for death or personal injury arising from our negligence, nor our liability for fraudulent misrepresentation or misrepresentation as to a fundamental matter, nor any other liability which cannot be excluded or limited under applicable law.

13. Viruses, hacking and other offences

13.1 You must not misuse our site by knowingly introducing viruses, trojans, worms, logic bombs or other material which is malicious or technologically harmful. We have no control over the contents of those sites or resources, and accept no responsibility for them or for any loss or damage that may arise from your use of them.

16. Termination

16.1 We may issue a warning, temporarily suspend, permanently suspend or terminate your right to use this website if you:

  • Breach any of these Conditions;
  • (b) Infringe or attempt to infringe or violate any of the rights of any other user(s) and/or third parties in connection with this website; or
  • (c) If you utilise this website to commit or attempt to commit a criminal offence.

16.2 To terminate the Services, log into your account and deregister.

17. Variations

17.1 We may revise these Conditions at any time by amending this page. You are expected to check this page from time to time to take notice of any changes we have made, as they are binding on you. Some of the provisions contained in these Conditions may also be superseded by provisions or notices published elsewhere on our site.

18. Force Majeure

18.1 For the purposes of these Conditions, Force Majeure Event means an event beyond our reasonable control including but not limited to strikes, lock-outs or other industrial disputes (whether involving our workforce or any other party), failure of a utility service or transport network, act of God, war, riot, civil commotion, malicious damage, compliance with any law or governmental order, rule, regulation or direction, accident, breakdown of plant or machinery, fire, flood, storm or default of suppliers or subcontractors.

18.2 We shall not be liable to you in the result of any delay or failure to perform its obligations under these Conditions as a result of a Force Majeure Event.

18.3 If the Force Majeure Event prevents us from providing any of the Services for more than 21 days, we shall, without limiting our other rights or remedies, have the right to terminate these Conditions immediately by giving written notice to you.

19. Jurisdiction and applicable law

19.1 The English courts will have exclusive jurisdiction over any claim arising from, or related to, a visit to our site although we retain the right to bring proceedings against you for breach of these Conditions in your country of residence or any other relevant country.

19.2 These Conditions and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the law of England and Wales.
